Trill D: Legal Terms

This Clause Governs the Use of All Trill D Utility Sheets and Associated Data. By purchasing or using Trill D products, you agree to these terms.

1. Product Definition and Corporate Identity

The User acknowledges that Trill D is a product and trade name operated by Guru 2 Guru LLC, a Maryland Limited Liability Company. The service is a unique Strategic Performance Utility and not a certified legal or customs brokerage service. The service is the result of a combined operational process:

• Algorithmic Integrity: Trill D employs its proprietary Knowledge Graph Integrity Model (KGIM) to automatically ingest, structure, and verify unstructured data from public governmental sources (e.g., USITC, HMRC).
• Human Augmentation: The final data is subject to manual review and integration by human operators before distribution.
• Purpose: The sole purpose of this process is to provide the user with high-fidelity, actionable data for internal financial modeling and strategic planning (e.g., Landed Cost Calculation) for the User's direct benefit only.

2. Acknowledgment of Data Volatility and Limitation of Liability

The User understands and accepts that, due to the inherent volatility and complexity of global trade law, the data provided by Trill D may contain inevitable lag, error, or ambiguity.

No Guarantee of 100% Accuracy

Guru 2 Guru LLC (dba Trill D) does not guarantee that the tariff rates, tax calculations, or compliance flags will be 100% accurate in every jurisdiction at the precise moment of execution. The final responsibility for legal compliance rests solely with the User.

Waiver of Claims

The User agrees to waive any and all claims against Guru 2 Guru LLC, Trill D, its founders, its employees, and representatives, for any direct, indirect, or consequential damages resulting from the use of the Utility Sheets, including but not limited to:

• Customs fines, penalties, or seizure of goods.
• Losses due to pricing errors or unmitigated tariff changes.
• Losses due to cart abandonment or customer disputes.

Exclusive Remedy

The User's exclusive remedy for any dissatisfaction with the service is to terminate their $29/month subscription.

3. Intellectual Property and Scope of Use (IP Protection)

The User acknowledges that the algorithms, formulas, data structures, and the Trill D data tables constitute proprietary Intellectual Property (IP) owned by Guru 2 Guru LLC. The User is granted a non-transferable, non-exclusive license for their internal business use only.

The User is expressly prohibited from reproducing, rebranding, reselling, distributing, or otherwise leveraging the Trill D Utility Sheets or its underlying data for the benefit of any third party.

4. Data Distribution and Third-Party Indemnification

The User acknowledges that their subscription is for the sole benefit of the individual or entity that paid for the service. The User agrees that if the Utility Sheets or data are shared with any third party (Non-User) and that third party suffers financial damage, the original User agrees to indemnify, defend, and hold harmless Guru 2 Guru LLC (and its brand Trill D) from any claims, suits, or liabilities raised by that third party. The User accepts full responsibility for the compliance and financial outcomes of any Non-User utilizing the Trill D data.
